Pro Shop Subscription Terms
These terms are an agreement between your pro shop (the "shop", "you") and LayoutQ LLC ("we", "us") for the shop plans in the LayoutQ app and web app (the "service"). You accept them when you open a shop account, subscribe to a paid plan, or keep using one. The Terms of Use and Privacy Policy still apply. If they conflict with these terms on a shop matter, these terms win.
The service
The service lets a shop keep customer records, fit numbers, drill sheets, layouts, and a drill log, and see recommendations and insights for its customers. It comes in three plans.
- Counter: free, up to 25 customer records, for one shop.
- Companion: unlimited customer records, drill sheet uploads, insights, and staff accounts, for one shop.
- Multi-shop: everything in Companion for a business with up to three locations. For more than three, email us and we will arrange it.
Price and the charter price
Companion is 19 US dollars a month or 190 US dollars a year. Multi-shop is 39 US dollars a month or 390 US dollars a year. Sales tax is added where the law requires it.
The first 20 shops to subscribe pay the charter price of 9 US dollars a month for Companion. The charter price stays in force for as long as the shop's subscription remains active without a lapse of more than 30 days, whatever our list price becomes. It is tied to the shop and does not transfer if the shop is sold.
We may change list prices with 30 days' notice by email to the shop's account address. A change takes effect at the shop's next renewal after the notice. The charter price is not affected.
Billing
We bill through Helcim, a payment processor. You can pay by card or by bank transfer (ACH). Helcim holds your payment details; we never see your full card or account number. Helcim's own terms apply to the payment itself.
Plans renew automatically on the same day each month or each year until you cancel. If a payment fails, we retry and email you. If it still fails after 14 days, the shop drops to the Counter plan until payment is made. Nothing is deleted when a plan drops.
Changing plan. You can move to a different plan or billing period at any time. The change takes effect at the end of the period you have already paid for. Until then you keep the plan you have, with its limits, at the price you are paying, and the first charge for the new plan falls on that date at the new price. Moving up from the free Counter plan is the exception and starts straight away, because there is no paid period to wait for. You can change or drop a pending move before it takes effect, and cancelling your plan cancels it too. Moving between plans is not a lapse, so a charter price stays with the shop through a move.
Keep your payment details and account email current. Receipts are emailed after each charge.
Cancellation and refunds
You can cancel at any time from the shop's account settings or by emailing us. Cancellation takes effect at the end of the period you have paid for, and you keep the paid plan until then.
Monthly charges are not refunded. An annual charge is refunded in full if you cancel within 14 days of paying it; after that the year runs out and is not refunded.
If we close the service or remove a feature the shop relies on, we refund the unused part of any prepaid period.
Your customer records
Customer records you create belong to the shop. They are your business records. We store and process them only to run the service for you, and to compute totals that identify nobody, such as how many arsenals contain a brand's balls. Totals are never computed from fewer than five records.
Because the records are yours, you are responsible for them. You agree that you:
- Have each customer's permission to keep their name, phone number, email address, measurements, and drill sheets, and a parent's or guardian's permission for a customer under 18.
- Tell customers that their records are kept in the service and that they can ask you to see or delete them.
- Answer a customer's request to see, correct, or delete their records within 30 days, using the export and delete tools in the service. We help by email if you ask.
- Send a customer only the messages they asked for. By text or email: appointment, pickup, and service reminders, and news about an order they have placed. As a notice through the app: only what the section on notices to linked bowlers allows, which is narrower. No marketing of any kind, in any of the three.
- Keep the list of staff who may use the shop account current, and remove a staff member in Shop settings when they leave, or tell us and we do it.
- Do not put in a record anything you would not want the customer to read.
- Only upload files you are entitled to upload. A drill sheet you wrote is yours. A page scanned from a manufacturer's guide or a coaching book is not, and we remove material when a rights owner asks.
Notices to linked bowlers
A bowler who has linked your shop and turned notices on can be sent a notice about major work on one of that bowler's own balls. You pick from a fixed set of messages and cannot write your own.
We deliver every notice. It goes from our systems to the bowler, inside the app that carries our name, which is why the rules below are ours to enforce rather than advice. What it costs us if a notice breaks them is the reason for the section on misused notices below.
Only your shop's owner can change the shop's name. We keep a record of the names your shop has used and who changed them, which your staff can see, and for a while after a change a notice from your shop shows its former name beside the new one.
You agree that you:
- Send a notice only about major work on a ball belonging to the bowler receiving it, or about an order they have placed for one: a ball you ordered for them arriving or being delayed, a ball ready to collect, or a resurface, an oil extraction, or a plug and redrill. Never a promotion, an offer, an announcement, a survey, or anything about a ball that is not theirs.
- Send under your own shop's name only, and do not hold yourself out as another shop, another business, a ball manufacturer, or us.
- Correct a mistake with the correction tool rather than by sending a second notice. A notice can be corrected once, and the correction replaces it.
- Have the right to the shop name you register. It is not another business's name, and it is not chosen to make a bowler think you are someone else.
Numbers you supply that reach a bowler
Some of what you enter does not stay in your own records. The service intervals you set decide when a linked bowler's app tells them a ball is due for a resurface or an oil extraction. They apply to each ball you have worked on, and keep applying until another shop the bowler is also linked to records newer work on that ball, and they are presented as yours rather than ours. Where a bowler has more than one of the same ball and we cannot tell which you worked on, none of them follows your intervals.
You agree that you:
- Set service intervals to what the work actually needs. They decide when a bowler is told to come in, so an interval shortened to bring customers back sooner is advertising by another route, and the rule against marketing covers it.
If notices are misused
We can suspend your shop's notices at any time if we believe the section above has been broken, or if Apple or Google requires it. A bowler can report a notice to us from their inbox, and a report is one of the ways we find out. We tell you when we suspend notices and why. Suspending notices does not change the rest of the service or what you pay.
You indemnify us against any claim, fine, penalty, or loss arising from a notice sent from your shop, including a claim by the bowler who received it, a claim by a business whose name was used, and any action Apple or Google takes against our accounts or our apps. This survives the end of your subscription.
What we do with the records
We act as your processor for customer records. That means:
- Records are stored on Google Firebase servers in the United States, and only the shop's staff accounts can read them. Drill sheet files are stored on Google Firebase Storage under the same rule.
- We do not sell the records, use them for advertising, show them to another shop, or use them to train machine learning models.
- Our sub-processors are Google Firebase (storage, sign-in, and transactional email) and Helcim (billing only; Helcim never sees customer records).
- If we learn of a breach of security that exposes your customer records, we tell you by email within 72 hours of confirming it, with what happened and what data was involved, so you can tell your customers.
- We answer your questions about the records within 30 days and help you answer a customer's request.
- When a paid plan ends, the shop returns to Counter and keeps every record and sheet; new records stop at the Counter limit until you upgrade again. When the shop account closes, you can export your customers and drill log as CSV for 60 days. After that we delete the shop's records. Balls and numbers already copied into a bowler's own account stay with the bowler.
Staff and the shop account
A shop account is opened for a business. The shop names the staff who may use it and is responsible for everything they do with it. Each staff member needs their own sign-in; do not share one sign-in between people or between shops.
A staff member's own LayoutQ bowler account, if they have one, is theirs and is not part of the shop account.
Availability and support
We work to keep the service available at all times, but we do not guarantee uptime, and the service may be down for maintenance, for reasons at Google Firebase, or for reasons outside our control. Where we can, we schedule maintenance outside shop hours and tell you in advance.
Support is by email and phone. We aim to reply within one business day. Export your records from time to time so you always have your own copy.
Acceptable use
The acceptable use rules in the Terms of Use apply. In addition, do not resell access to the service, share a shop account with another business, or use the service to collect records for anyone other than your own customers.
Recommendations are not a guarantee
The layouts, surface suggestions, and ball recommendations the service shows are computed from the numbers you enter and LayoutQ's own models, which use the ball specifications on file (the maker's own where the maker has confirmed them) and published layout geometry. They are suggestions for a drilling professional. The professional verifies fit and layout against their own measurements and the manufacturer's guidance, decides what is drilled, and remains responsible for the work. We are not liable for equipment drilled, plugged, sanded, or otherwise modified in reliance on the service.
Any business figures the service shows, including contribution and break-even, are estimates calculated from the numbers you enter. They are not accounting, tax, or financial advice, and you remain responsible for the decisions you make with them.
Disclaimer and limitation of liability
The service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the fullest extent the law allows, LayoutQ LLC is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or lost business, arising from the service. Our total liability to the shop for all claims in any 12 month period is limited to the fees the shop paid us in that period. These limits do not apply to our duties under "What we do with the records" to the extent the law does not allow them to be limited.
Termination
You can close the shop account at any time. We may suspend or close a shop account that breaks these terms or the Terms of Use. For anything that can be fixed, we email you first and give you 14 days to fix it. For serious misuse, such as trying to read another shop's records, we may close the account at once.
On closure for any reason, the 60 day export window in "What we do with the records" applies. A prepaid unused period is refunded only if we closed the account for our own reasons rather than for a breach.
Changes to these terms
We may update these terms. For a change that matters, we email the shop's account address at least 30 days before it takes effect and update the effective date. Continued use after that date means the shop accepts the new terms. A change never removes the charter price from a shop that holds it.
Governing law and disputes
These terms are governed by the laws of the State of Alabama, without regard to its conflict-of-law rules. Any dispute that cannot be settled informally will be brought in the state or federal courts serving Jefferson County, Alabama, and both of us consent to their jurisdiction. Before filing, email us and we will try to resolve the issue within 30 days.
